TERMS OF SERVICE AGREEMENT

This Terms of Service Agreement ("Agreement") is entered into between Global Women in Tech ("GWiT", "Global Women TechLeaders", "GWTL", "we", "us", or "our"), a non-profit organization incorporated under the laws of Romania, and you, the user ("User", "you", or "your") who intends to use the services offered by GWTL.

1. Acceptance of Terms

By accessing and using the Global Women TechLeaders (GWTL) website and services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

Our Services are diverse, and additional terms or product requirements (including age requirements) may apply. If additional terms or conditions are available with or applicable to the relevant Services, then those additional terms become part of your agreement with us if you use those Services.

YOU ACKNOWLEDGE AND AGREE THAT THESE TERMS OF SERVICE LIMIT OUR LIABILITY AND THAT YOU ARE RELEASING US FROM VARIOUS CLAIMS IN SECTION 11 BELOW. THESE TERMS ALSO CONTAIN A BINDING ARBITRATION PROVISION IN SECTION 16 THAT AFFECTS YOUR RIGHTS UNDER THESE TERMS WITH RESPECT TO THE SERVICES.

2. Eligibility

You may only use GWTL if:

  1. You are at least the age of majority in your jurisdiction; and
  2. You have the legal capacity and authority to enter into these Terms.

3. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. We will notify users of any significant changes. Your continued use of the Service after changes have been posted constitutes your acceptance of the updated terms.

4. User Accounts

To access certain features of the Service, you may be required to create an account. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

5. User Content

User retains all ownership rights in any data, files, or other content ("User Content") uploaded, submitted, stored, or sent on the Services. By posting content, user grant GWTL a non-exclusive, worldwide, royalty-free license to use, host, store, reproduce, modify, create derivative works, communicate, publish, publicly perform, publicly display and distribute such content.

GWTL does not own or claim any rights to User Content and will not use, modify, or disclose User Content except as necessary to provide the Services or as required by law.

User is solely responsible for ensuring that User Content does not infringe any third-party intellectual property rights or violate any applicable laws or regulations.

6. Fees and Payment

GWTL reserves the right to charge fees for the use of its Services.
User agrees to pay all fees and charges incurred in connection with the use of the Services in a timely manner.
GWTL reserves the right to modify its fees and payment policies at any time, with notice to User.

7. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

  • Violating any applicable laws or regulations
  • Infringing on the intellectual property rights of others
  • Posting or transmitting harmful or malicious code
  • Impersonating any person or entity
  • Interfering with the proper functioning of the Service

8. Privacy and Data Protection

Our Privacy Policy explains how we treat your personal data and protect your privacy when you use our Services. By using our Services, you agree that GWTL can use such data in accordance with our Privacy Policy. We comply with applicable data protection laws, including the General Data Protection Regulation (GDPR) where applicable.

9. Intellectual Property

  1. Ownership. The Service and its licensors own all rights, title, and interest in and to GWTL, including any underlying software, technology, and content (excluding User Content).
  2. User Content License. By submitting or transmitting any content (“User Content”) to GWTL, you grant GWTL a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to store, display, process, and use your User Content in connection with providing and improving the Service.
  3. Trademarks. All trademarks, service marks, logos, trade names, and any other proprietary designations belonging to GWTL used herein are trademarks of The Service.

10. Third-Party Services

GWTL may integrate, incorporate, or otherwise link to third-party services or content that are not owned or controlled by us. We do not endorse or assume responsibility for such third-party services. Your interactions with these third-party services are governed by their own terms and policies.

11. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall GWTL, nor its directors, employees, partners, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

GWTL shall not be liable for any damages arising from the unauthorized access to or use of User Content.

12. Indemnification

You agree to defend, indemnify, and hold harmless GWTL, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service or in any way connected with:

  • Your use of GWTL or any activities under your account;
  • Your breach or alleged breach of these Terms;
  • Your violation of any law or the rights of a third party.

13. Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. GWTL does not warrant that the Services will meet User's requirements, be error-free, uninterrupted, or secure. The Service is provided without warranties of any kind, whether express or implied.

14. Governing Law

These Terms shall be governed and construed in accordance with the laws of Romania, without regard to its conflict of law provisions.

15. Dispute Resolution and Arbitration

Any dispute arising out of or relating to these Terms, including their formation, interpretation, breach, or termination, will be resolved through final and binding arbitration administered by the Romanian Court of International Commercial Arbitration in accordance with its rules. The arbitration will be conducted by a single arbitrator, in the English language, and in Bucharest, Romania. The decision of the arbitrator will be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

16. Changes to Service

We reserve the right to to modify, suspend, or discontinue our Service (in whole or in part) at any time, with or without notice to you. We will not be liable if for any reason all or any part of the Service is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Service, or the entire Service, to users, including registered users.

17. General

  1. Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
  2. No Waiver. Any failure by us to enforce any right or provision under these Terms does not constitute a waiver of future enforcement of that right or provision.
  3. Entire Agreement. These Terms, along with any other agreements referenced herein (including our Privacy Policy), constitute the entire agreement between you and T3 Tools Inc. regarding your use of T3 Chat.
  4. Assignment. You may not assign or transfer these Terms or any rights or obligations herein without our prior written consent. We may freely assign or transfer these Terms.
